Cooperation, Referral and SaaS Agreements in Saudi Arabia: What Must the Contract Actually Define?

Does the title “cooperation agreement” define the legal relationship?

No. The title may describe anything from referrals and joint delivery to market-entry support, distribution, consulting or technology integration. The agreement should describe the actual operating model, because legal and commercial risk follows what the parties do and promise—not the marketing label on the first page.

Which clauses are most important in a cooperation arrangement?

Define each party’s scope, authority, customer-facing role, exclusivity, reporting, payment triggers, change control, confidentiality, data/IP responsibilities, liability, termination and post-termination obligations. Also state clearly whether either party can bind the other to third parties.

How should referral commissions be drafted?

Define what counts as a qualifying introduction, when the commission is earned, whether payment depends on receipt from the customer, how renewals and repeat business are treated, what records can be checked and whether rights survive termination. Ambiguity around the payment trigger is a common source of friction.

What deserves special attention in SaaS or platform agreements?

Service scope, availability commitments, acceptance, subscription and renewal mechanics, data handling, cybersecurity responsibilities, IP ownership/licensing, subcontractors, change management, suspension, termination assistance and liability allocation should reflect the actual service model and any applicable Saudi regulatory requirements.

What is the best drafting test?

Ask whether a new manager who never attended the negotiations could read the agreement and operate the relationship correctly. If the document depends on unwritten assumptions, the contract is not yet doing its job.
