The Ministry’s current FAQ states that a commercial register has no fixed duration and that its data must be verified annually. The Ministry also provides an electronic annual-confirmation service through the Saudi Business Center platform.

The review is an opportunity to confirm that registered activities, management information, addresses, licence information and other relevant registry data remain consistent with the company’s actual operations.
What happens if annual confirmation is missed?
The Ministry’s FAQ states that if the annual confirmation is not submitted within three months of its due date, measures can include a reminder, a fine and suspension of the commercial registration. The precise position should be checked against the current law, regulations and Ministry guidance at the time the confirmation is due.

Record the annual confirmation due date in the company’s compliance calendar with advance internal reminders.
Reconcile the commercial register against the company’s constitutional documents, current management and actual business activities.
